ACE Platform Terms of Service

1. Introduction
These Terms of Service ("Terms") govern your access to and use of the ACE (Agentic Context Engineering) platform, including:
- The ACE web application at https://ace.code-engine.app ("Website")
- The ACE API services at https://ace-api.code-engine.app ("API")
- The ACE SDK packages published on npmjs ("SDK")
- The ACE MCP client for Claude Code ("MCP Client")
- Any related documentation and services (collectively, the "Service")
The Service is provided by Code Engine ("Company", "we", "us", or "our").
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
2. Description of Service
ACE is an AI-powered pattern learning platform that:
- Analyzes code execution traces submitted by users
- Uses AI models (Claude by Anthropic) to identify coding patterns and insights
- Stores learned patterns in a structured "playbook" for future retrieval
- Provides pattern recommendations to improve coding workflows
Important: ACE uses artificial intelligence to process your data. By using the Service, you acknowledge and consent to AI-based processing as described in our Privacy Policy.
3. Eligibility
You must be at least 18 years old and capable of entering into a binding contract to use the Service. By using the Service, you represent and warrant that you meet these requirements.
4. Account Registration
4.1 Account Creation
To access certain features, you must create an account. You agree to:
- Provide accurate and complete registration information
- Maintain the security of your account credentials
- Promptly update any changes to your information
- Accept responsibility for all activities under your account
4.2 API Tokens
API tokens are confidential credentials. You must:
- Keep tokens secure and not share them
- Regenerate tokens immediately if compromised
- Not embed tokens in public code repositories
5. Acceptable Use Policy
5.1 Permitted Uses
The Service is intended for:
- Software development productivity enhancement
- Personal and team coding pattern learning
- Code quality improvement for your own projects
- Integration into your development workflows
5.2 Prohibited Uses
You may NOT use the Service for:
High-Risk AI Applications (EU AI Act Annex III)
- Employment decisions - evaluating, scoring, or making decisions about hiring, promotion, termination, or work allocation based on ACE patterns
- Performance evaluation - using patterns to assess individual developer performance for HR purposes
- Educational assessment - determining access to education or evaluating students
- Credit/Insurance scoring - making financial or insurance decisions
- Law enforcement - criminal justice, policing, or legal proceedings
- Critical infrastructure - systems affecting health, safety, or essential services
General Prohibited Uses
- Any use that violates applicable laws or regulations
- Processing data you do not have rights to submit
- Attempting to reverse-engineer the Service's proprietary algorithms
- Circumventing security measures or access controls
- Submitting malicious code, malware, or security exploits
- Overwhelming the Service with excessive requests (DoS attacks)
- Reselling or redistributing the Service without authorization
- Using the Service to develop competing products

6. Intellectual Property
6.1 Our Intellectual Property
The Service, including its algorithms, software, designs, and documentation, is owned by Code Engine and protected by intellectual property laws. You receive no ownership rights in the Service.
6.2 Your Content
You retain ownership of the execution traces and code you submit ("Your Content"). By submitting content, you grant us a limited license to:
- Process Your Content to provide the Service
- Generate patterns and insights from Your Content
- Store patterns derived from Your Content in your project's playbook
6.3 Learned Patterns
Patterns generated from Your Content are stored in your project and are accessible only by you (subject to your sharing settings). We do not use patterns from one customer to benefit other customers.
7. Data Processing and Privacy
7.1 Data Collection
We collect and process:
- Execution traces you submit (task descriptions, code steps, results)
- Account information (email, organization name)
- Usage data (API calls, feature usage)
7.2 AI Processing
Your data is processed by AI models (Anthropic Claude) to:
- Analyze execution traces
- Generate pattern insights
- Perform semantic similarity matching
7.3 Data Location
Data is processed and stored on servers located in the European Union.
7.4 Data Retention
- Active project data: Retained while your account is active
- Deleted projects: Permanently removed within 30 days
- Account deletion: All data removed within 30 days

8. Service Availability
The Service is provided "as available." We do not guarantee uninterrupted access and may perform maintenance with or without notice, modify or discontinue features, or experience outages beyond our control.
9. Fees and Payment
Current pricing is available on our Website. We may change pricing with 30 days' notice. Free tier usage is subject to limits. Fees are generally non-refundable except as required by law.
10. Disclaimers
AI Accuracy: THE SERVICE USES AI WHICH MAY PRODUCE INACCURATE, INCOMPLETE, OR INAPPROPRIATE RESULTS. You are responsible for reviewing and validating all patterns and recommendations before use.
No Warranty: THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
No Professional Advice: The Service does not provide legal, financial, medical, or other professional advice. Patterns are suggestions only.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM
- WE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
- WE SHALL NOT BE LIABLE FOR LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES
12. Indemnification
You agree to indemnify and hold harmless Code Engine and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, your violation of any third-party rights, or Your Content or data submitted to the Service.
13. Termination
By You: You may terminate your account at any time through the Website or by contacting us.
By Us: We may suspend or terminate your access for violation of these Terms, for non-payment of fees, for any reason with 30 days' notice, or immediately if required by law.
Effect: Upon termination, your access to the Service will cease, your data will be deleted per our retention policy, and provisions that should survive will remain in effect.
14. Changes to Terms
We may modify these Terms at any time. We will notify you of material changes via email or Website notice. Continued use after changes constitutes acceptance.
15. Governing Law and Disputes
These Terms are governed by the laws of the Netherlands, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Amsterdam, Netherlands.
If you are an EU consumer, you retain any mandatory consumer protection rights under your local law.
16. EU AI Act Compliance
ACE is classified as a limited-risk AI system under the EU AI Act (Regulation 2024/1689). It is NOT intended for high-risk applications listed in Annex III.
We inform you that:
- AI (Anthropic Claude) processes your execution traces
- AI makes decisions about pattern retention and relevance
- You can review, modify, or delete patterns via the management interface
